The second command would be the right for you, but:
carsten@taz:~$ apt-cache search kernel-source xfs
kernel-source-2.4.20-xfs - Linux kernel source for version 2.4.20-xfs
there is ATM no Source-Package available for 2.4.21-xfs.
You could install kernel-source-2.4.21 and patch it with kernel-patch-xfs
or wait till kernel-source-2.4.21 is available.
If I understood what you want to do, it would be IMHO easier to use the
kernel-headers instead the complete source to build the modules. The good
news is:
carsten@taz:~$ apt-cache search kernel-header xfs
kernel-headers-2.4.20-xfs - Header files related to Linux kernel version 2.4.20-xfs
kernel-headers-2.4.21-xfs - Header files related to Linux kernel version 2.4.21-xfs
it is already packaged :)

I think this is described in /usr/share/doc/kernel-package/README.gz and
in man make-kpgk.
